1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and KONSOLE LABS GmbH ("Company", "we", "us", or "our") governing your access to and use of the SuperSmart Cloud platform and services (the "Service").
By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.
These Terms apply to all users, including business users ("Tenants") and their authorized team members.
2. Description of Service
SuperSmart Cloud provides:
- AI-powered content creation and editing tools (KIditor)
- Audio transcription and text-to-speech services
- Voice cloning capabilities
- News aggregation and show preparation tools
- Workflow automation and content distribution
- Integration with third-party services and platforms
The specific features available to you depend on your subscription plan. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.
3. Account Registration
3.1 Eligibility
You must be at least 18 years old and have the legal capacity to enter into these Terms. By registering, you represent that you meet these requirements.
3.2 Account Information
You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials.
3.3 Account Security
You are solely responsible for all activities that occur under your account. You must notify us immediately of any unauthorized use or security breach.
3.4 Multi-User Accounts (Tenants)
Business accounts may have multiple authorized users. The account owner ("Tenant Owner") is responsible for ensuring all users comply with these Terms.
4. Subscription and Payment
4.1 Subscription Plans
We offer various subscription plans with different features and pricing. Current pricing is available on our website. Prices are in Euros (EUR) and exclude applicable taxes unless otherwise stated.
4.2 Free Trial
We may offer a free trial period. After the trial ends, your account will be billed according to the selected plan unless you cancel before the trial ends.
4.3 Billing
Subscriptions are billed in advance on a monthly or annual basis. Payment is due upon invoice. We use Stripe for payment processing.
4.4 Price Changes
We reserve the right to change prices with 30 days' notice. Price changes will apply to the next billing cycle after notice is given.
4.5 Refunds
Payments are non-refundable except where required by law or as expressly stated in these Terms. Annual subscriptions may be eligible for a pro-rata refund within 14 days of purchase.
5. Acceptable Use
You agree NOT to use the Service to:
- Violate any applicable laws or regulations
- Infringe on intellectual property rights of others
- Create, distribute, or promote illegal content
- Generate content that is defamatory, obscene, or harmful
- Impersonate others or misrepresent your identity
- Distribute malware, spam, or phishing content
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the Service
- Use the Service for fraudulent purposes
- Create synthetic media to deceive or harm others
- Clone voices without proper authorization from the voice owner
- Resell access to the Service without authorization
We reserve the right to suspend or terminate accounts that violate these terms without prior notice.
6. Content and Intellectual Property
6.1 Your Content
You retain all rights to content you create, upload, or generate through the Service ("Your Content"). You grant us a limited license to process Your Content as necessary to provide the Service.
6.2 AI-Generated Content
Content generated by AI tools through the Service is owned by you, subject to any restrictions in the underlying AI providers' terms (OpenAI, Anthropic, etc.). You are responsible for reviewing and verifying AI-generated content before use.
6.3 Voice Cloning
You represent that you have obtained all necessary rights and consents to clone any voice using our Service. You indemnify us against any claims arising from unauthorized voice cloning.
6.4 Our Intellectual Property
The Service, including its software, design, and documentation, is owned by us and protected by intellectual property laws. You may not copy, modify, or reverse engineer any part of the Service.
7. Third-Party Services
The Service integrates with various third-party services including AI providers (OpenAI, Anthropic, Google, ElevenLabs, etc.), social media platforms, and other external services.
Your use of these integrations is also subject to the respective third-party terms of service. We are not responsible for the availability, accuracy, or policies of third-party services.
You acknowledge that some AI-generated content may be subject to content policies and restrictions of the underlying AI providers.
8. Data Processing (Business Users)
For business users processing personal data through our Service, we act as a data processor under GDPR. A separate Data Processing Agreement (DPA) is available and required for business accounts.
The DPA includes information about our sub-processors, technical and organizational measures, and data handling procedures.
9. Warranty Disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We do not guarantee the accuracy, completeness, or usefulness of any AI-generated content.
You acknowledge that AI technology has limitations and may produce inaccurate, biased, or inappropriate content. You are responsible for reviewing all content before publication or distribution.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KONSOLE LABS GMBH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
These limitations apply regardless of the legal theory under which damages are sought and even if we have been advised of the possibility of such damages.
11. Indemnification
You agree to indemnify, defend, and hold harmless KONSOLE LABS GmbH and its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorney's fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any rights of another party
- Content you create, upload, or distribute through the Service
- Your use of voice cloning features
12. Termination
12.1 Termination by You
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.
12.2 Termination by Us
We may suspend or terminate your account immediately for violation of these Terms, non-payment, or for any other reason with 30 days' notice.
12.3 Effect of Termination
Upon termination, your access to the Service ceases. You may request export of Your Content within 30 days of termination. After this period, Your Content may be deleted.
13. Governing Law and Disputes
These Terms are governed by the laws of the Federal Republic of Germany, without regard to its conflict of law principles.
Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts in Berlin, Germany.
For business users, we are open to alternative dispute resolution mechanisms as agreed in writing.
14. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated via email or through the Service at least 30 days before taking effect. Your continued use of the Service after changes become effective constitutes acceptance of the new Terms.
15. Miscellaneous
- Entire Agreement: These Terms constitute the entire agreement between you and us regarding the Service.
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
- Waiver: Our failure to enforce any right does not constitute a waiver of that right.
- Assignment: You may not assign these Terms without our consent. We may assign these Terms freely.
- Force Majeure: We are not liable for failures due to circumstances beyond our reasonable control.
